Terms and Conditions – SIWA Law
Scope of Services and Conflicts of Interest
SIWA Law Advokatanpartsselskab ("SIWA Law") provides legal advice exclusively under Danish law. Our counsel is intended solely for matters governed by Danish legislation and should not be relied upon for legal issues outside this jurisdiction.
Before accepting any engagement, SIWA Law conducts thorough conflict checks in accordance with the ethical rules established by the Danish Bar and Law Society. If a potential conflict of interest is identified prior to or during an engagement, SIWA Law will take appropriate steps, which may include declining or withdrawing from the matter to ensure full compliance with professional standards.
Anti-Money Laundering Compliance
As a law firm registered in Denmark, SIWA Law is subject to the Danish Anti-Money Laundering Act (hvidvaskloven). This requires us to obtain, verify, and retain identity information and other relevant client data in accordance with applicable legislation.
By submitting such information, clients consent to SIWA Law sharing this data with financial institutions or other relevant entities when necessary to meet our statutory obligations.
Fees and Invoicing
Our fees are determined based on multiple factors including (but not limited to): time spent, case complexity and scope, legal expertise required, urgency, and outcome achieved — all in line with the guidelines issued by the Danish Bar and Law Society.
Unless otherwise agreed, all fees are quoted exclusive of VAT and external costs. For consumer matters and upon request, we provide a fee estimate and description of the expected scope of work before initiating legal services. Should the estimated fee be exceeded, the client will be notified promptly with an explanation.
Invoicing generally occurs upon completion of the assignment or in suitable intervals, such as following key milestones in a larger matter. Standard payment terms are 14 days from invoice date, and VAT will be added as per current Danish regulations.
Disbursements and External Costs
Expenses related to court fees, translations, travel, and other necessary disbursements will be billed separately from legal fees, unless otherwise agreed.
Disbursements and External Costs
At SIWA Law, we have a remote first approach. This means that all meetings will be conducted through online meetings and/or other forms of telecommunication. This ensures time efficiency, maximum flexibility and reduced costs for clients.
Liability and Insurance
SIWA Law is liable for its legal advice in accordance with general principles of Danish law. We maintain professional indemnity insurance with a reputable provider, ensuring coverage in accordance with industry standards.
However, our liability is limited to a maximum of ten (10) times the total fee for the matter and shall not exceed DKK 2.5 million. Liability is strictly limited to direct losses. We do not accept liability for indirect or consequential losses, including but not limited to loss of profits, business interruption, or goodwill.
SIWA Law has liability insurance with Dahlberg Assurance Agentur under policy number 310-0000156. The liability insurance covers all legal services provided by SIWA Law Advokatanpartsselskab.
Governing Law and Jurisdiction
Any dispute arising between SIWA Law and a client shall be governed by Danish law. In the absence of an amicable resolution, disputes shall be submitted to the jurisdiction of the competent Danish courts.
